Eligibility

You must be at least 18 years of age to create an account and use the Services. By using Vireya, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

If you are accessing the platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Accounts

When you create an account, you must provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to notify us immediately of any unauthorized use of your account or any other security breach. We are not liable for losses arising from unauthorized use of your account where you have failed to maintain the security of your credentials.

We reserve the right to suspend or terminate accounts that contain inaccurate information, violate these Terms, or are used in a manner that may harm the platform or other members.

Memberships & Subscriptions

Vireya offers tiered membership plans (including Rooted, Grow, and Thrive) that provide access to various platform features, educational content, coaching services, and community resources.

Memberships are billed on a recurring basis (monthly or annually) depending on the plan selected at checkout. Your subscription will automatically renew at the end of each billing cycle unless you cancel prior to the renewal date.

You may cancel your membership at any time through your account dashboard. Cancellation stops future renewals, and you will retain access through the remainder of your current paid billing period.

We reserve the right to modify membership pricing, features, or tier structures with reasonable advance notice. Changes to pricing will apply to the next billing cycle following the effective date of the change.

Refunds are handled in accordance with our Refund Policy.

Coaching Services

Certain membership tiers include or offer access to wellness coaching services. Coaching provided through Vireya is educational and supportive in nature and is not a substitute for licensed therapy, counseling, or medical treatment.

Coaching sessions require at least 24 hours notice for cancellation or rescheduling. Sessions canceled with less than 24 hours notice, missed appointments, or no-shows may not be refunded or rescheduled.

Coaches may maintain session notes and intake information to support the coaching relationship. This information is handled in accordance with our Data Policy.

Medical Disclaimer

Vireya provides educational wellness resources, coaching support, lifestyle guidance, habit-building tools, and community features. Our Services are not intended to diagnose, treat, cure, or prevent any disease or medical condition.

The information and guidance provided through the platform should not be used as a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of a qualified healthcare provider with any questions regarding a medical condition.

We do not guarantee specific health outcomes, medical improvements, or personal results from participation in the platform. Individual results may vary.

If you are experiencing a medical emergency, please contact emergency services immediately. Do not rely on Vireya for urgent medical care.

Health Information & HIPAA

Vireya is not a covered entity under the Health Insurance Portability and Accountability Act (HIPAA). While we collect wellness-related information to support your platform experience, this information is not classified as Protected Health Information (PHI) under HIPAA.

We apply reasonable security practices to protect member data, but the platform should not be used to store, share, or transmit sensitive medical records. For detailed information about how your data is handled, please review our Data Policy and Privacy Policy.

Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the platform for any illegal or unauthorized purpose
• Harass, abuse, threaten, or intimidate other members or staff
• Post or transmit content that is defamatory, obscene, hateful, discriminatory, or violent
• Impersonate another person or misrepresent your identity or affiliation
• Share your account credentials with others or allow unauthorized access to your account
• Attempt to gain unauthorized access to the platform, other accounts, or related systems
• Use automated tools, bots, scrapers, or similar technology to access or extract platform content
• Interfere with or disrupt the integrity or performance of the Services
• Upload malicious code, viruses, or harmful content
• Use the platform for commercial solicitation, advertising, or spam without authorization

Community Guidelines

Vireya includes community features such as discussion channels, posts, comments, and messaging. By participating in community spaces, you agree to:

• Treat all members with respect and kindness
• Keep conversations supportive and constructive
• Respect the privacy and boundaries of other members
• Avoid sharing medical advice or presenting yourself as a healthcare professional unless licensed to do so
• Report concerns about content or member behavior to the support team

We reserve the right to remove content, restrict access to community features, or take other action to maintain a safe and supportive environment for all members.

Intellectual Property

All content provided through the platform, including but not limited to text, graphics, images, videos, audio, educational materials, lesson content, coaching frameworks, templates, guides, and software, is the property of Vireya or its licensors and is protected by copyright, trademark, and other intellectual property laws.

Your membership grants you a limited, non-exclusive, non-transferable license to access and use platform content for personal, non-commercial purposes during your active membership.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit platform content without prior written consent from Vireya.

User-Generated Content

By posting content in community spaces (including posts, comments, and messages), you grant Vireya a non-exclusive, royalty-free license to display, store, and distribute that content within the platform for operational purposes.

You retain ownership of the content you create. However, you are solely responsible for content you post and represent that you have the rights to share it.

We reserve the right to remove user-generated content that violates these Terms, community guidelines, or applicable laws.

Termination

We reserve the right to suspend or terminate your account and access to the Services at any time, with or without notice, for conduct that we believe violates these Terms, is harmful to other members, or is otherwise inappropriate.

Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination will remain in effect, including intellectual property, limitation of liability, indemnification, and governing law.

You may voluntarily close your account at any time by contacting our support team or through your account settings.

Limitation of Liability

To the maximum extent permitted by applicable law, Vireya and its officers, directors, employees, agents, coaches, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

Our total liability for all claims arising from or relating to these Terms or the Services shall not exceed the amount you paid to Vireya during the twelve (12) months immediately preceding the event giving rise to the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Vireya and its officers, directors, employees, agents, coaches, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney’s fees) arising from or relating to your use of the Services, violation of these Terms, or infringement of any third-party rights.

Disclaimers

The Services are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not guarantee the accuracy, completeness, or usefulness of any content provided through the platform.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Kansas, United States, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Services shall be resolved in the state or federal courts located in Kansas, and you consent to the personal jurisdiction of such courts.

Changes to These Terms

We reserve the right to modify these Terms at any time. Updated versions will be posted on this page with a revised effective date. We will make reasonable efforts to notify members of material changes through the platform or by email.

Continued use of the Services after changes are posted constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, please discontinue use of the platform.
